Terms of Service
1. Acceptance of Terms & Contracting Parties
These Terms and Conditions of Sale (the "Terms") shall apply to all inquiries, quotations, proforma invoices (PI), purchase orders, and deliveries of financial electronic products and components (the "Products") between the website/company (the "Seller") and any business customer (the "Buyer").
By placing an order, confirming a PI, or making a payment, the Buyer unconditionally accepts and agrees to be bound by these Terms.
2. Quotations, Specifications & Order Finality
Due to the specialized and secure nature of financial electronic products, all orders must be confirmed in writing through a final Proforma Invoice (PI) or Sales Contract issued by the Seller.
Any customized requirements, including but not limited to specific financial institution standards, security certifications (PCI-DSS, EMV), or proprietary software/firmware flashing, must be explicitly specified in writing before order confirmation.
3. Payment Terms & Anti-Money Laundering (AML) Compliance
Standard payment terms require an advance deposit upon order confirmation, with the remaining balance paid in full prior to shipment via Telegraphic Transfer (T/T) or an irrevocable Letter of Credit (L/C).
All payments must originate from the Buyer's official corporate bank account. The Seller does not accept third-party payments from unverified sources.
4. Trade Terms & Shipping
Unless otherwise agreed in writing, international trade and shipping terms shall be interpreted according to Incoterms 2020 as FOB [Designated Port, China] or EXW [Seller's Warehouse].
Delivery dates provided by the Seller are estimates only.
5. Regulatory Compliance & Export Control
The Buyer is solely responsible for ensuring that Products comply with all financial regulations, telecommunications laws, safety standards, EMC certifications including CE, FCC, RoHS, or local requirements.
6. Inspection, No-Return Policy & Quality Claims
Due to strict security, confidentiality, and anti-tampering requirements, all sales are final.
The Seller does not accept returns, exchanges, or refunds once orders are processed or shipped.
7. Limited Warranty & Technical Support
The Seller provides a 12-month limited hardware warranty starting from shipment date, covering defects in materials and manufacturing workmanship.
8. Limitation of Liability & Financial Risk Disclaimer
Under no circumstances shall the Seller's total liability exceed the total amount actually paid by the Buyer for the specific disputed order.
The Seller shall not be liable for indirect, incidental, special, or consequential damages.
9. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the Hong Kong Special Administrative Region (HKSAR).
Any dispute shall first be settled through amicable negotiation. If no agreement is reached within thirty (30) days, the dispute shall be resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC).
